Termination

A Free Writing Prospectus (FWP) was filed with the Securities and Exchange Commission (the “SEC”) on July 21, 2025. The FWP can be found at https://www.sec.gov/edgar/browse/?CIK=0000764764. Formal notice under the indenture governing the PowerInvestment Notes will be mailed to your address of record in accordance with the terms of the indenture.

As an investor in PowerInvestment Notes, you are encouraged to redeem your investment now. Funds that are still in your account when the program is closed will be redeemed and a check for all amounts in your account, including any accrued interest, at the Redemption Date will be mailed to your address of record.

As an investor in PowerInvestment Notes, you are encouraged to redeem your investment prior to September 8, 2025, through normal procedures, which include – writing a check, written redemption, telephone redemption, wire, and ACH redemption. When redeeming your investment in full, you should include any accrued interest in the total amount of the redemption less fees. To ensure you have the correct redemption amount, please call the Service Center at 1-800-233-2164.

Redeeming your investment in full prior to the Redemption Date will not automatically close your account. Call the Service Center at 1-800-233-2164, during business days from 7:30 a.m. to 6 p.m. U.S. Central Time, to speak to a representative to close your account before September 15, 2025. Accounts that remain open after September 15, 2025, will be automatically closed and funds remaining in your account, including any accrued interest, will be mailed to your address of record.

Yes, operations will continue until September 15, 2025, with some exceptions noted below:

  • Investments: No new investments will be accepted after August 15, 2025. It is recommended to stop instructions for new investments (ACH and checks) immediately, although normal processing will continue up to and including August 15, 2025. Checks and ACH investments received after August 15, 2025, will be returned to sender. Wire and ACH investments received after 1 p.m. U.S. Central Time on August 15, 2025, will be returned.
  • Redemptions: Investor initiated redemptions by check will continue up to and including September 8, 2025. Outgoing wires and ACH redemption functionality will be rejected as of 1 p.m. U.S. Central Time on September 8, 2025. Any investor-initiated redemptions received after this date will be returned to the sender. Any funds that remain in your PowerInvestment account after September 8, 2025, will be redeemed in full, including any accrued interest, on September 15, 2025, and a check will be mailed to the address of record for your account.
  • Interest Rate: PowerInvestment Notes (both Retail Tier and Corporate Tier) will yield 0.00% interest after August 15, 2025.
  • Client service: A final closing statement confirming your account closure will be sent to your address of record. Investors will receive 1099 tax forms in the first quarter of 2026. On April 15, 2026, the IVR and investor web portal will be removed from service. Investors can continue to call the Service Center at 1-800-233-2164 for client services after the closure of the PowerInvestment program until April 15, 2026.

No, we cannot update instructions on behalf of an investor for any payee that may be authorized to send investments or redeem funds from your PowerInvestment account. Please contact this payee as soon as possible to update instructions. Investments will be rejected and returned to the sender after August 15, 2025, and automated ACH redemptions will be suspended on September 8, 2025. Note there may be long wait times to amend investments that are automatically paid by Social Security.

No, checks will be mailed to the registered address of your PowerInvestment account and will be made out to the registered owner(s) of the investment. If you need to update your address, please do so prior to August 15, 2025. Call the Service Center at 1-800-233-2164, during business days from 7:30 a.m. to 6 p.m. U.S. Central Time, to speak to a representative if you have questions about changing the registered address of your account.

Investment Security and Quality

An investment in the Cat Financial PowerInvestment notes allows individuals and institutions to benefit from the financial strength of Caterpillar Financial Services Corporation. It is important to note that Cat Financial PowerInvestment is not a money market account, which is typically a diversified fund consisting of short-term debt securities of many issuers. An investment in the PowerInvestment notes does not meet the diversification and investment quality standards set forth for money market funds by the Investment Company Act of 1940. Instead, PowerInvestment notes are variable denomination, floating rate demand notes that are considered a short-term unsecured debt obligation of Caterpillar Financial and are backed only by the assets of Caterpillar Financial. While the PowerInvestment notes are not separately rated by a nationally recognized statistical rating organization and are not expected to be rated in the future, Caterpillar Financial has an “investment grade” rating from the major security rating agencies for its unsecured debt obligations. The unsecured long-term debt of Caterpillar Financial is rated A by Fitch Ratings, A by Standard & Poors and A3 by Moodys. Your investment in the PowerInvestment notes is not equivalent to a deposit or other bank account and is not guaranteed, insured, or subject to the protection of the Federal Deposit Insurance Corporation.

Investment Maintenance

The minimum investment in the notes is $250.00.

Because of the relatively high cost of maintaining small investments, we reserve the right to redeem your investment if the investment balance is less than the minimum required investment balance of $250 for three consecutive months. You will be notified if our notes will be redeemed and you will be permitted 30 days within which to make additional investments to increase your investment balance to the applicable minimum required investment before your investment is redeemed. The maximum investment in the notes is currently $25 million.

If the amount of your investment exceeds the maximum, we may notify you in writing that we intend to redeem the amount of your investment in excess of $25 million. You will then have 30 days to redeem the excess portion of your investment. If you do not do so within the next 30-day period, we will redeem the amount we have specified and mail a check to the registered holder of the notes. The maximum total investment in the notes for any one investor is subject to change at the discretion of the Cat Financial PowerInvestment Committee without prior notice to investors. Redemptions via Automated Clearing House (ACH) can be made by:

You may initiate an ACH debit through your financial institution from your investment. A minimum redemption of $250 is required.

You may set up an ACH redemption which can be executed utilizing the self-service feature of online access. A $250 minimum redemption is required.

You can establish a bank model to complete on request ACH redemptions by submitting the information in writing on the Electronic Funds Transfer Form. Each registered must sign the request and obtain a Medallion Signature Guarantee stamp.  In addition, the models must have like ownership, with the same owners on the investment as there are on the investment the funds are going to. Once the form is received, the model will be added to the investment within two business days. Once the model is complete, a confirmation is generated and sent to the registered address confirming that the transfer instructions have been established.

If you are enrolled in online access, you can use the self-service feature to establish a bank model and complete single ACH redemptions.

The agent bank will initiate the redemption from your investment and an ACH credit will be sent to the financial institution on file via a NACHA formatted transaction file. Funds are transferred to your financial institution one business day following receipt by the agent bank of the request if received by 2:00 p.m. Eastern time. The redemption will post on such day and interest will accrue to, but not including, such day. If received after 2:00 p.m. Eastern time, funds are transferred to your financial institution two business days after receipt of the request. The redemption will post on such day and interest will accrue to, but not including, such day. 

A written request will need to be sent with the signatures of all signers listed on the investment in order for your request to redeem all or a portion of the PowerInvestment notes. Please forward any such requests to:

Please note that the Change Form must be signed by all of the signers listed on the investment and each signature must be guaranteed with a Medallion Signature Guarantee Stamp. An electronic funds transfer can be established by completing the investment & redemption options section of the Change Form, which must be signed by all of the listed investors on the investment and each signature must be guaranteed by a Medallion Signature Guarantee Stamp from a U.S. commercial bank, savings bank, trust company or credit union. Yes, a minimum of $1,000 is required for wire transfers.

Wire transfers that are received by 2:00 p.m. Eastern time will be credited to your Cat Financial PowerInvestment notes the same day received and processed for redemption the following business day. Wire transfers received after 2:00 p.m. Eastern time will be credited to your Cat Financial PowerInvestment notes the following business day and available for redemption the next business day after they have been credited to your Cat Financial PowerInvestment notes.

Cat Financial will be waiving all fees while termination of the PowerInvestment Notes program is in progress.

Yes, there is a seven-business day hold on all purchases of Cat Financial PowerInvestment notes received in the mail and a five-business day hold on all purchases made by telephone. Interest is accrued during this hold period, but the funds are unavailable for your use.

Medallion Signature Guarantee Requirements

A Medallion Signature Guarantee Stamp is also known as a STAMP imprint. STAMP (Securities Transfer Agents Medallion Program) is the financial industry's official signature guarantee program. Under STAMP, the guarantor institution uses self-inking hand stamps or stamping equipment to place a distinctive imprint on securities and other documents used to affect a transfer. The easily recognized stamped imprint signifies participation in STAMP as a signature guarantor and assures that transfer agents will accept the guarantees. The Medallion Signature Guarantee is not to be confused with a Notary Public.

Signature guarantees serve a vital function and are essential to the transfer of registered-form securities. Like an endorsement on a check, the signature guarantee enables transfer agents and processing agents to accept instructions from an investor/security holder with the confidence that the instructions have been properly authorized. The signature guarantee warrants that the original signature was genuine, that the signer was the appropriate party to endorse the document, and that the signer had legal capacity to sign. As a result, this signature guarantee helps to protect you, the security holder, against fraudulent transfers.

You can obtain a signature guarantee from a financial institution such as a commercial bank, savings bank, credit union, or broker dealer that participates in the Medallion signature guarantee program. Many financial institutions will not guarantee your signature if you are not a customer, so the best source for a Medallion Guarantee is a financial institution with which you do business.

An investor located outside of North America may have difficulty obtaining the services of a signature guarantor, especially if the investor has no business relationship with a North American financial institution. This means that you may be unable to affect the transfer of securities, so it is recommended that you establish an electronic funds transfer prior to moving or traveling abroad.

The agent bank will send a statement to you on approximately the 15th of every month showing a summary of all the transactions made in the Notes during the previous month, including the beginning investment balance, all investments and redemptions, all interest earned, as well as any relevant fees or charges. In addition, redemption checks on which payment has been made will be returned monthly to you; the check number and amount of each such check will be indicated on the monthly investment statement. This procedure is subject to change at the discretion of the Cat Financial PowerInvestment Committee or its designee.
