JOSEPH E. CREED 
was named CEO of Caterpillar Inc. on May 1, 2025, and serves as a member of its Board. He was Chief Operating Officer of Caterpillar from 2023-2025 and Group President of its Energy & Transportation segment from 2021-2023. Creed joined Caterpillar in 1997 and has held positions across the company, including Senior Vice President of Oil & Gas and Marine, Senior Vice President of Electric Power, Senior Vice President of Caterpillar Finance Services, and interim Chief Financial Officer. Mr. Creed has been a director since 2025.

DANIEL M. DICKINSON
 has served as Executive Chairman of HCI Equity Partners (private equity firm) since 2001. Mr. Dickinson has been a director of the Company since 2006.

JAMES FISH, JR. 
is President and CEO of Waste Management, North America's largest comprehensive waste management environmental solutions provider. Since assuming the role of CEO, Fish has shifted the company's sustainability strategy to focus on minimizing its environmental impact by reducing carbon emissions, investing in differentiated, innovative technologies and automation, and expanding recycling and renewable energy infrastructure to help customers achieve their sustainability goals. Mr. Fish has been a director since 2023.

GERALD JOHNSON
 – Former Vice President, Global Manufacturing and Sustainability of General Motors Company where he began in 1980 and served many different manufacturing and quality roles globally. Mr. Johnson has been a director since 2021.

NAZZIC KEENE retired as CEO of Science Applications International Corporation (SAIC) in 2023.  She was appointed to the position of CEO and elected as a director after having served as Chief Operating Officer of SAIC from 2017 to 2019 and as the President of Global Markets & Missions from 2013 to 2017. Ms. Keene has been a director of the Company since 2024.

DAVID W. MACLENNAN is the former Chair and CEO of Cargill, Inc. He began his Cargill career in 1991 and served in several positions of increasing responsibility before becoming Chief Financial Officer in 2008 and Chief Operating Officer in 2011. Mr. MacLennan has been a director since 2021.

JUDITH MARKS is Chair of the Board, CEO and President of Otis Worldwide Corporation, the world's leading provider and maintainer of elevators, escalators and moving walkways. During her tenure, she led the successful spin of Otis to an independent publicly traded company, and prioritized and advanced Otis’ sustainability program by embedding it into the company strategy as a key element to drive added value for all stakeholders. Ms. Marks has been a director since 2023.

DEBRA L. REED-KLAGES retired as Chairman of the Board of Directors and CEO of Sempra Energy (energy infrastructure and utilities) in 2018, having served in these roles since 2012 and 2011, respectively. Other current directorships: Chevron Corporation and Lockheed Martin Corporation. Ms. Reed has been a director of the Company since 2015.

SUSAN C. SCHWAB has been a Professor at the University of Maryland School of Public Policy since 2009 and a Strategic Advisor for Mayer Brown LLP (global law firm) since 2010.  She held various positions previously, including U.S. Trade Representative (member of the President’s Cabinet) and Assistant Secretary of Commerce. Ambassador Schwab has been a director of the Company since 2009.

D. JAMES UMPLEBY III is Executive Chairman of Caterpillar’s Board of Directors. He served as Caterpillar Inc. CEO beginning January 1, 2017, and was elected Chairman of the Board in 2018. He led the company as Chairman and CEO through April 30, 2025, before becoming executive director May 1, 2025. Mr. Umpleby has been a director of the Company since 2017.
